This senior staff position serves as general legal counsel and represents, and directs the representation, of the American Society of Anesthe! siologists (ASA) in all legal matters. The General Counsel will be leading strategic and tactical legal initiatives. This position will provide the Chief Executive Officer, Executive Committee, Administrative Counsel, Board of Directors, and senior staff members with effective advice on strategies and their implementation, manage the legal function, and obtain and oversee the work of outside counsel.
Position Responsibilities (Expected Work):
This position is not static and will be revised as the need of the organization’s business evolves.
Major Activity: Provide strategic legal counsel to ASA CEO, Officers, Board and senior staff. Must anticipate issues and estimate risks, and considers the surrounding legal and regulatory environment and how to deliver the best results for ASA.
Major Activity: Oversee and execute management of ASA legal affairs, providing legal counsel and advice on matters concerning operation of the Soci! ety and conduct of its operations and programs, including iden! tifying, analyzing and remedying legal risks to ASA and its officers and Directors and providing legal counsel and expertise on other key issues affecting the organization, such as:
Society governance and corporate compliance;
Tax issues related to permissibility of specific taxable and tax-exempt activities of the ASA and its affiliated organizations;
Intellectual Property;
Lobby Compliance and FEC laws;
Real estate, employment among other issues
Major Activity: Select and supervise outside legal counsel and provide oversight of corporate integrity compliance and ASA initiatives.
Major Activity: Safeguard and maintain ASA intellectual property rights such as copyright and trademark, including drafting and negotiating contracts, licenses, and other legal instruments, including distribution license agreements for key ASA coding products.
Major Activity: Review, negotiate as necessary, and approve all agreements and co! mmitments negotiated and/or arranged by ASA staff.
Major Activity: Oversee the Assistant General Counsel to ensure the coordination and management of ASA contract management process.
Major Activity: Oversee and manage ASA expert witness testimony review program and complaints pertaining to other ethical matters.
Major Activity: Assist all staff with advocacy and legal issues, such as antitrust, Fraud and Abuse, Physician Self-Referral, and Anti-Kickback issues as well as other issues to advance the ASA legislative, regulatory, and practice management agenda.
Major Activity: Provide counsel to ASA affiliated organizations managed by the ASA as requested and appropriate.
Major Activity: Provide counsel for ASAPAC regarding FEC laws.
Major Activity: Other duties may be assigned.
